Corporate Governance

We are committed to maintaining the highest standards of governance in how we conduct our business and manage our investments in portfolio companies.

In order to meet the highest standards of corporate governance, Havenvest is governed by a Board of Directors comprised of the firm’s senior management and a non-executive director with extensive private equity experience.

The Board of Havenvest Private Equity Middle East Limited is responsible for the management and operation of the Havenvest business. There are three executive directors- David Knights, David Price and Abdul Qaiyum Hafiz, and a non-executive director- Chris Masterson. Chris Masterson acts as the non-executive Chairman of Havenvest.

The Havenvest funds have external Advisory Boards comprising Limited Partners who are invested in the respective funds.

The Advisory Boards provide guidance to the General Partner in the areas of fund policy and procedures and the resolution of any potential conflicts of interest between the General Partner and the funds.

Each Havenvest fund has an Investment Committee that is responsible for advising the General Partner on all the Partnerships' investment and divestment decisions. The Committee periodically assesses the overall condition of the fund’s investments. The members of the Investment Committee for both of the current funds are Chris Masterson (Chairman), David Knights, David Price and Abdul Qaiyum Hafiz. The Committee's decisions are reached by a consensus of all its members.

The Partnership comprises David Knights, David Price and Abdul Qaiyum Hafiz, who collectively are Havenvest Partners Limited and are responsible for the day-to-day aspects of the firm's management strategy and long-term planning.

Each of the Partnership funds is managed by a General Partner, who is responsible for investment and divestment decisions and the fund's overall portfolio management. The General Partner is vested with the power to manage the Partnership business.
